Helen of Troy Board unanimously rejects Empower Brands' $37.00/share unsolicited bid, cites strategic plan inflection and tariff refund reinvestment as sources of superior standalone value.

Helen of Troy's Board has unanimously rejected a $37.00 per share cash acquisition proposal from Empower Brands Holdings Group (a Spectrum Brands/Oaktree Capital joint venture), characterizing the offer as opportunistic and timed to exploit tariff-driven stock price dislocation. The company counters with a five-year standalone plan projecting low-to-mid single-digit net sales growth, high-single-digit Adjusted EBITDA growth, and mid-to-high-teens Adjusted EPS growth, anchored by four designated Power Brands (OXO, Osprey, Braun, Olive & June). Early execution metrics — Q2 FY27 Adjusted EBITDA margin of 11.2% versus 8.4% a year ago, net leverage reduced to 3.0x, and FY27 free cash flow outlook raised to $120–$140 million — provide the Board's empirical foundation for the rejection.
