McCormick's Unilever Foods merger dominates Q3 2026: $15.7B cash payment obligation, 55% ownership dilution, and organic growth of just 1.9% underscore execution risk at scale.
McCormick's Q3 2026 results are structurally overshadowed by the pending Reverse Morris Trust merger with Unilever Foods, which will require a $15.7 billion one-time cash payment to Unilever and result in existing McCormick shareholders owning only approximately 35% of the combined company. Organic net sales growth of 1.9% in Q3 2026 — driven entirely by pricing (+2.2%) while Consumer segment volumes declined 1.1% — confirms the underlying business remains demand-challenged even before the integration complexity of a transformational deal. Adjusted diluted EPS guidance of $3.05 to $3.13 for full-year 2026 reflects only modest earnings progression, while $226.6 million in special charges through nine months signals the true cost of deal pursuit.
