Empower Brands proposes $37/share all-cash acquisition of Helen of Troy for ~$1.6B enterprise value
Spectrum Brands' jointly-owned Empower Brands platform announced a non-binding $37-per-share cash proposal to acquire Helen of Troy, representing a 31% premium to the 30-day volume-weighted average price and no financing contingency. The filing reveals escalated engagement: Empower made an initial $34/share proposal on August 19, increased it to $37 on October 12, and filed this public proposal after Helen of Troy's board attempted to restrict information sharing via a confidentiality agreement. The combined entity would generate approximately $2.9 billion in annual revenue, positioning Empower to achieve greater scale and operational efficiency while advancing Spectrum Brands' stated objective of separating and monetizing the Empower platform.
